I.‎ Legal risk ‎
• Liaise with relevant departments to ensure that where legal risks have been identified, ‎appropriate courses of action have been taken. ‎
• Provide legal protection and risk management advice to management especially on contract ‎management. ‎
• Provide and interpret legal information, conduct training and disseminate appropriate legal ‎requirements to staff. ‎
II.‎ Policy development ‎
• Review and advise management on legal implications of internal policies and procedures. ‎
• Review and draft contracts, agreements and internal policies and ensure that they are in ‎compliance with all statutory or legal requirements. ‎
III.‎ Regulatory compliance ‎
• Ensure a company is being run legally and ethically, complying with all regulations that apply to ‎the industry.‎
• Responsible for reviewing the current and prospective risk a business enterprise faces.‎
• Formulate compliance check-lists to be used for the purpose of ensuring that all information ‎required is provided accordingly. ‎
• Continuously monitor compliance with statutory obligations and advise management ‎accordingly. ‎
IV.‎ AML responsibilities:
• Develop policies internally relating to AML in the company and oversee the implementation of those policies
• Implement the annual AML plan and perform the relevant quality assurance checks to ensure adherence
• Conduct due diligence reviews
• Report results of reviews of AML risk assessments and monitor remedial proceedings
• Identify, investigate, and resolve all activities that are deemed noncompliant.
• Review and approve all advertisements for publishing and broadcasting
• Plan AML training sessions
• Act as a subject matter expert for the business and point of reference to address related queries
Inform the relevant authorities of any breaches
• Compile reports for the board and internal risk committees
• Address issues relating to transaction monitoring, filtering, and sanctions
V. Contract negotiation ‎
• Review all contracts or any other documentation where the Company has committed itself and ‎assess legal implications that need to be brought to the executive management’s attention. ‎
• Prepare, review and modify contractual instruments to assist and support various business ‎activities. ‎
• Negotiate, review and draft documentation for business transactions and prepare and advise on ‎the necessary checklist to be adopted to ensure information is submitted on time. ‎
VI.‎ Board Secretary duties
• Oversee that the board follows the correct procedures and that the board complies with its ‎obligations under the law and the company’s MOA. ‎
• Assist the chairman of the board in organizing the board’s activities (including providing ‎information, preparing an agenda, reporting of meetings, evaluations and training programs as ‎well as arranging, recording and following up on the actions, decisions and meetings of the ‎Board and of the shareholders (both at annual and extraordinary meetings). ‎
