- Participate in the short and long-term strategy for the division and report on the progress of activities to measure success to support the achievement of PIH’s strategic objectives.
- Recommend an optimum organization structure for the division in coordination with GCLO and the Human Resources, to ensure effective workflow of operational processes
- Collaborate with Human Resources in the development of the division’s manpower plan
- Prepare and recommend the division’s budget in alignment to the respective annual business plan and ensure proper cascading into departmental budgets.
- Advise on general business law issues and managing the legal issues of all areas of the company including but not limited to contracts and agreements templates, corporate affairs, advisory to the organization business units, corporate governance, legal compliance, Joint Ventures, disputes and employment related topics.
- Anticipate and manage the (legal) risks connected with or resulting from the business strategy and operations.
- Secure compliance of business operations with relevant laws and regulations.
- Create and maintain awareness of business - employees for (compliance with) relevant laws and regulations.
- Conduct legal research and studies.
- Draft, review and submit recommendations regarding legal documents such as contracts, agreements (Local and International), notices, claims, official forms, Board / Shareholders resolutions, AOAs, SHAs, SPAs, JVAs, MOMs, etc.
- Supervise and manage the company’s litigation portfolio.
- Participate with departments in negotiating contracts and agreements with other parties negotiating claims to reach amicable settlements of contractual disputes and reviews different types of tender documents.
- Liaise with shareholders, law firms and Governmental bodies in matters concerning the organization.
- Prepare periodic progress reports on the department activities.
- Conduct investigations upon request related to violations committed by employees and recommend appropriate disciplinary action.
- Manage the development, implementation of and compliance to business unit policies, systems, processes and procedures, identifying potential areas of improvement, to ensure an efficient and effective operation.
