Served as acting COO of this public international film sales company. Handled investor relations. Managed all financial and legal compliance matters in Canada, the United Kingdom and the Netherlands Antilles. Oversaw the operating subsidiary in London, England. Negotiated contracts for the acquisition of international or world-wide film and television distribution rights.
Accomplishments:
Restructured/renegotiated a merger transaction of division of a UK PLC, an offshore tax shelter, and a de-listed shell; achieved compliance with Canadian regulations limiting foreign ownership of media companies and re-listed
Developed and managed relations with stock exchanges, securities regulators, investment bankers, analysts and commercial bankers
Organized the turn-around and oversaw the management of the operating subsidiary in London, England, including the creation of a television distribution division
Won a proxy fight to remove hostile minority shareholders from the board
Structured/negotiated off-balance sheet, non-recourse financing facility for rights acquisitions
Negotiated the acquisition of a Canadian television production and distribution company
Renegotiated the debt and equity positions of the major shareholders to position the company for a round of public financing

Database for storing and analyzing scanned picking tickets for agribusiness
Prototyped a system to meet the requirements of the Jamaican Ministry of Finance and approval of the World Bank and International Monetary Fund. Included in the final selection with one other vendor who won as lowest bid
In 1986, automated a major area agribusiness consisting of six related companies. All accounting, maintenance, and office automation functions were automated using packaged software on a Unix microcomputer platform.
This is a charitable organization. My service was in a volunteer capacity. Responsible for all accounting and finance functions. Member of Executive Committee which served as the management. Member of Board of Trustees.
Accomplishments:
In 1976, designed and implemented a manual fund accounting system for a not-for-profit organization with twenty funds. Set up accounting, cash and credit procedures, and internal controls. Recruited, assigned, and trained mostly volunteer personnel. Later automated the system using packaged software and retrained personnel. Instituted budgeting process.
In charge of consulting services, internal automation, and client accounting engagements. Merged my accounting/consulting practice and AXSYS, Inc. with Epstein. Grew joint venture revenue by 600% while staff increased by only 400%. Split-off AXSYS and ended partnership at the end of 1991.
Taught all accounting subjects. Authored and was awarded a United States Title III program grant to automate the business curriculum and oversaw its implementation.
Performed public accounting and business consulting services.
Participated in audits of public companies. Joined the tax department for tax season.
