Efectively deal with legal and commercial aspects of various business verticals of the company including contracts and agreements relating to: o Sales, Procurement, Lease, Licensing, Marketing, Strategic Collaboration, Non-Disclosure Agreement (NDA), Memorandum of Understanding (MOU's), Letter of Intent (LOI), Letter of Award (LOA), Subscription Agreement, Memorandum & Articles of Association, Shareholder's Agreement, Financing Documents, Power of Attorney (POA), Share Sale & Purchase related documentation, Settlements, Consultancy & Supplier Contracts, Terms & Conditions of Sale & Purchase
•Drafting, reviewing, and negotiating complex contracts, agreements, and other related documents to protect the company's interests and secure favorable terms
•Representing the company in negotiations and settlement discussions, efectively resolving disputes, and minimizing litigation risks
•Collaborated with cross-functional teams, including stakeholders and internal legal departments, to facilitate successful deal execution
•Understanding & eliciting contract requirements in coordination with stakeholders & business partners; advising legal actions to mitigate business risks without afecting business continuity
•Liaise where necessary, with Banks and Financial Institutions through the Finance Department in connection with documentation for obtaining credit facility, dealing with security documentation, conditions precedents and concluding the financial structuring for enabling the credit facility to be made available
•Spearheading complete Contract Lifecycle Management functions including drafting, negotiating, managing compliance, resolving contractual issues, and administering closure/termination of contracts
•Conducting legal analysis, research & investigations on commercial matters & business risks for efective decision-making; identifying risks and cost implications relating to underlying contractual provisions
•Supporting internal stakeholders for: o developing efective Statement of Work (SOWs) & KPIs o Support bid/proposal preparation and management, such as review, developing and/or identifying the appropriate contracting model and/or terms and conditions, and managing stakeholder review and approvals o contract award/closure, post-contractual compliance o contractual dispute management and addressal
•Advising on: o Employment Policies, Contracts, Disputes, Regulatory & Governance matters o Standardization of contract templates and modifying existing T&Cs based on "lesson learnt", gap-analysis and changing business environment o End users on day-to-day contractual/legal issues such as non-compliance of legal/contractual provisions, non-performance, escalation of concerning issues o All standard and non-standard contracts, providing marked-up recommendations & commentary and negotiating directly with attorneys, commercial or purchasing staf until consensus has been reached, ensuring contract closeouts and execution
