My job duties are as follow:
* Review of Board Committees’/ Executive Committees’ charters, progress on their responsibilities
and priorities:
* Minutes of the meeting
1. I (i) agree and fix a standard form for taking minutes for the (a)Board and (b) Executive Committees;
2. (ii) then ensure that templates of minutes are ready at the start of each Board Committee meeting
for the Committee Secretary of that meeting;
3. (iii) I put a reminder in the minute taker’s calendar 3 working days after the meeting, and follow up
with Committee Secretaries if I have not seen or been told that draft minutes have been circulated
by that time.
* Prepare and execute Board Committees’ / Executive Committees’ annual self-assessment
process
1. The functions target for each year is to Complete the Board Committees self-appraisals and the
Executive committees self-appraisals’ by the end of January of the next year;
2. I (a) use alternative methods of communication to e-mail to ensure that members understand their
responsibilities and complete their self-appraisals on time. This will include drop by to remind the
members / their assistants that the appraisals need to be completed;
3. (b) explore the possibility of making the self-assessments easier to do by using services intranet
based/ e-survey
* Update Committees Charters - as needed
* Have the authority to conduct investigations.
* Develop Training courses such as:
o Code of conduct eLearning,
o Conflict of Interest eLearning,
o DoA eLearning
* Conduct face-to-face trainings:
o Code of Conduct for the shift employees,
o Induction and Familiarization trainings,
o trainings to Compliance Champions in any sections that relates to the Code of Conduct,
o Trainings for specific department if needed
* Gift & Entertainment declaration
* Conflict of Interest declaration (electronic & manual)
* Screening of Third parties (customers, suppliers) through Amber Road system
* Tracking KYC (know your costumer) forms - ensure if it is completed by the customer, screen the
company, directors, shareholders and the owner.
* Arranging Information Classification Training for other departments
* Arranging Annual General Meeting for all Subsidiaries
* Maintaining General Counsel Calendar/meetings/calls
* Updating EGA structure/ Committees structure
* Responsible for Company’s Licenses
* Interviewing new joiner in Legal & Compliance department
