■ Counsels the management with respect to the legal implications of the company’s major decisions, strategies and transactions.
■Active risk management and mitigation through drafting, revision, and implementation of internal controls across the company spectrum, including assessing risks, analyzing and reporting risk-related issues, ensuring compliance, implementing and optimizing risks management strategies.
■Advice to the management on issues of company governance, risk management, policy implementation, internal and external communications relating to sensitive matters, strategic planning and execution, and special projects.
■Ensures compliance with applicable laws and regulations relating to employment relationships, employee benefit programs, intellectual property rights and obligations, and professional responsibilities.
■Implementing and improving the internal audit scope, maintaining and operating the internal audit system, analyzing accounting documents, analyzing business processes, providing guidance to managers, writing reports that highlight issues, assessing management interventions, and maintaining communication with managers and audit committees.
■Management of International trading contracts through its complete lifetime, from drafting, negotiation, revision, execution, and archive. Contract include trade of commodities such as Seamless Pipes, Generators, Petroleum Coke, Sulphur, Petrochemicals, LPG, Catalyst, Guar Gum, etc.
■Development of relationship with external counsels; Coordinate with external counsels in order to minimize commercial and operating risks to the company and with legal proceedings and documentations.
■Provides day-to-day advice and counsel management and staff, responsible for legal knowledge training and advice to management and staff.
■Preparation and legalization of key legal documentation such as power of attorneys, contracts, board resolution, etc.
■Negotiates or reviews and approves all contracts and agreements between the company and employees or any third parties. Management of contracts within SAP Enterprise Resource Planning (ERP) system.
■Analysis of contract data from the ERP system and Business Warehouse (BW) and reporting of both monthly and annual business report to key management staff.
■Business administration, including preparation of annual business development plans, analysis of business statistics, preparation of administrative reports, board resolutions, memorandums, and minutes of meetings.
■Management of operational documentation, including company licenses, official company external communications, legal documentation, legalization and court related documentation, etc.
■Implementation and administration of Group policy and procedures.
