Secretary of the Board of Directors:
o Appointed as the Secretary of the Company's Board of Directors with following tasks and responsibilities:
The Company's contacting person with the CMA (Capital Market Authority).
Preparing the Agenda in consultation with the Board members for the Board meetings and the Annual General Assembly (AGM) and Extra General Assembly if any.
Drafting and preparing the minutes of the Board meeting and follow up its execution with the Company's management.
Responsible for preparing the Company's Annual Report and submission the same with Disclosure Forms to the CMA.
Responsible for uploading the Quarter and Annual financials and disclose all material information on Tadawul web site.
Legal Organization:
o Formulate and develop legal strategy, plan and budget for the legal department.
o Maintains custody of the company legal documents, formation documents, shareholders' agreements, Certificates, Registry and Proxies assigned to Managers.
Advisory Services:
o Provides internal legal advisory services on various legal matters to ensure that the corporate activities are in line with the applicable laws and regulations.
o Draft, review and prepare commercial contracts to which the company is a party or have interest to ensure that such interest is highly protected and the best commercial position is maintained.
o o o Drafting and reviewing employment contracts templates consistent with the Saudi laws and regulations, for maintaining company's rights and business interests as well as employees' legal rights and entitlements in compliance with the existing laws and regulations.
Legal Compliance:

o Drafting all internal laws and regulations required to be applied by SAMA (Saudi Arabian Monetary Agency) or the CMA (Capital Market Authority) or any other authorities have regulatory jurisdiction over the company.
