• Working closely with the General Counsel on the day to day management of the legal department. This includes inter alia, leading the staff and review their work, reviewing the policies and procedures of the legal department, legal services provided by the department to the clients, in addition to assisting in some other issues related to the restructuring of the department and the workload distribution.
• Coordinate with internal Audit Department to address all comments and issues Audit Department raises upon conducting internal audit to the legal division.
• Leading legal part of the bank’s major projects such as merger and acquisition, joint ventures, incorporation of new subsidiaries and SVPs, etc.
• Conducting legal due diligence for major projects and transactions.
• Advise all bank’s departments, units and branches (Retail Banking Group, Wealth Management and Wholesale Banking Group, Credit Risk Management, HR, and ADIB Subsidiaries)
• Member of the International Banking Group (IBG) to support and advise all ADIB franchise in UK, Iraq, Egypt, Sudan, and Qatar. This includes inter alia, selecting proper local law firms in each country, liaise with and oversee the services provided by the external lawyers.
• Providing legal advice in connection with the central bank, ESCA and DIFC regulations and requirements.
• Preparing and drafting standard and non standard contracts, Undertakings, Terms and Conditions, internal instructions, MoUs, JVs, PoAs, NDAs, and other legal documents as required.
• Drafting and reviewing standard facility and security documentation where the Bank is involved as a financer.
• Conducting legal audit for the files and documents of major transactions and facilities.
• Advice HR on the Employment issues in addition to assist in the disciplinary and internal investigation issues.
• Legal translation of various Legal Contracts & documents.
• Review and proofreading of the translation of various Legal Contracts and documents (English Arabic & visa versa).

2.Conducting workshops and deliver presentations to the seniors of privatized entities.
3.Participating in the negotiations process with the preferred bidders prior to award the contracts.
4.Drafting of Contracts(PPPs, Real estate, Mortgages, lease, shareholder agreements, employments, …etc), Undertakings, Terms and Conditions, By Laws and internal instructions, MoUs and other legal documents.
