• Working closely with the General Counsel on the day to day management of the legal department. This includes inter alia, leading the staff and review their work, reviewing the policies and procedures of the legal department, legal services provided by the department to the clients, in addition to assisting in some other issues related to the restructuring of the department and the workload distribution.
• Coordinate with internal Audit Department to address all comments and issues Audit Department raises upon conducting internal audit to the legal division.
• Leading legal part of the bank’s major projects such as merger and acquisition, joint ventures, incorporation of new subsidiaries and SVPs, etc.
• Conducting legal due diligence for major projects and transactions.
• Advise all bank’s departments, units and branches (Retail Banking Group, Wealth Management and Wholesale Banking Group, Credit Risk Management, HR, and ADIB Subsidiaries)
• Member of the International Banking Group (IBG) to support and advise all ADIB franchise in UK, Iraq, Egypt, Sudan, and Qatar. This includes inter alia, selecting proper local law firms in each country, liaise with and oversee the services provided by the external lawyers.
• Providing legal advice in connection with the central bank, ESCA and DIFC regulations and requirements.
• Preparing and drafting standard and non standard contracts, Undertakings, Terms and Conditions, internal instructions, MoUs, JVs, PoAs, NDAs, and other legal documents as required.
• Drafting and reviewing standard facility and security documentation where the Bank is involved as a financer.
• Conducting legal audit for the files and documents of major transactions and facilities.
• Advice HR on the Employment issues in addition to assist in the disciplinary and internal investigation issues.
• Legal translation of various Legal Contracts & documents.
• Review and proofreading of the translation of various Legal Contracts and documents (English Arabic & visa versa).
• Serve as a team leader if the tasks or projects require having group of lawyers to work on.
• Member of FATCA committee.
• Represent the legal department in some committees like the Group Risk and Control Committee (GRCC) to work as an Operation Risk Management Coordinator, service quality committee.
• Providing legal advice to ADIB and its Subsidiaries Board of Directors and Strategic Executive Committees in connection with Corporate Governance Issues.
• Assist the secretary of ADIB’s Board and its Subsidiaries Board of Directors and Strategic Executive Committees; this includes preparing agenda, meeting minute’s preparation, communication of resolution, etc.
• Liaise and coordinate and oversee the services provided by the external lawyers of the Bank.
• Work as Instructor and deliver Legal training to ADIB staff on legal issues, such as contracts, Business and Banking Law, in addition to deliver an orientation presentation on the legal department for new staff.
Providing legal advice for businesses and Individual clients in various legal fields.
• Providing legal advice on the legal aspects of the organization’s works and projects including drafting proposed legal provision for criminal legislations that shall be in harmony with other legislations in the country.
• Drafting contracts and agreement between the organization and its partners.
• Manage main projects of the organization including all aspects of the project management.
• Overseeing the conferences, workshops, forums and policy dialogues held by the organization.
• Participating in developing of strategic and operational planning.
• Participating in fundraising process, this includes, conduct meetings with donors and draft proposals.
This role involved but not limited to:
1. Representing the council before other governmental and non-governmental entities.
2. Managing the work with ACJLS’ Board of Trustees which includes Arab legal scholars, prominent judges, and ministers from the MENA region.
3. Providing legal consultations regarding the council and its works
4. Running day to day administrative, managerial and legal affairs.
5. Overseeing the conferences, workshops, forums and policy dialogues held by the council.
6. Ensuring the sustainability of ACJLS including fundraising and Proposal writing.
7. Participating in strategic and operational planning
This role involved but not limited to:
1.Project director for major Saudi government privatization projects which had been implemented in association with one of the Magic Circle Firms (Freshfields Bruckhaus Deringer - English law firm) :
a)Saline Water Conversion Corporation (SWCC) Privatization study at the value of Over 100 billion SR: SWCC owns 30 desalination plants, accounting for 17 per cent of global desalination capacity.
b)Jeddah Water and Wastewater privatization Project (one of the Ministry of Water and Electricity projects), the project includes drafting of Two PPP contracts; Management O&M contract for the water and wastewater network and Concession contract for the Wastewater Plants ).
c)Independent Water & Power Production (advising a Saudi-Malaysian consortium on its bid for one of the IWPP projects).
2.Conducting workshops and deliver presentations to the seniors of privatized entities.
3.Participating in the negotiations process with the preferred bidders prior to award the contracts.
4.Drafting of Contracts(PPPs, Real estate, Mortgages, lease, shareholder agreements, employments, …etc), Undertakings, Terms and Conditions, By Laws and internal instructions, MoUs and other legal documents.
5.providing legal advice to Saudi businesses and Personal clients.
Provide legal consultation and litigation for Jordanian individuals and businesses
Running the day to day legal department issues; Compliance officer for credit retail and corporate contracts; Litigation on behalf of the Bank before all courts in the kingdom; Provide the CEO, internal departments and bank branches with all requested legal advice as well as drafting the required contracts.
