- Providing support and legal services to Risk Management Group (the “Group”), an investment group which business spans from insurance and re-insurance industry in MENA, GCC, Europe and the Americas (and includes renowned companies such as UFA, IDU, Risk Management and Barents Re), to sports betting, lottery and gaming in Africa.
- Handling insurance and reinsurance projects including brokerage and MGA in the USA, Bermuda, Europe (with the hub being in Luxembourg), and the middle east (mainly UAE and KSA).
- Handling all legal matters pertaining to the Group’s tech arm company based in Europe such as: incorporating subsidiaries for the company’s growth, negotiating with gaming operators, regulators, telecommunication companies as well as multi-media companies, drafting and reviewing software licenses and maintenance agreements, software development agreements, SaaS agreements.
- Assisting and working closely with and providing all necessary support to the Group’s various
departments, including but not limited to: HR, Finance, Strategy and Compliance.
- Assisting the compliance department, as the legal department’s focal point of contact in data privacy issues and anti-corruption matters.
- Supporting the Family Office in all legal aspects pertaining to the daily life of the Group’s ultimate beneficiary owners.
- Drafting, reviewing and negotiating commercial agreements including but not limited to term sheets, letters of intent, share purchase agreements, shareholders’ agreements, directorship services agreements, engagement letters, services agreements, brokerage agreement and all software related agreements.
- Incorporating and acquiring companies, and obtaining all relevant licenses from the competent
authorities and handling regulatory matters for the Group’s regulated entities.
- Shortlisting, engaging and liaising with external counsel, and setting the strategies in line with the Group’s goals.
- Providing legal advice for twenty-six offices in fifteen countries across the Middle East.
- Providing input and assistance on regulatory matters, reputation and risk management for all
Deloitte Member Firms in the Middle East.
- Managing the Anti-Corruption program for the Middle East and acting as the Anti-Corruption
Champion.
- Assisting in local labor laws issues and providing all necessary support to Human Resources.
- Assisting in drafting policies and internal memos across the Middle East.
- Supporting Deloitte’s regional team and providing legal assistance to senior management, directors, partners and leaders regarding existing and potential engagements.
- Reviewing and drafting all kinds of agreements including engagement letters, services agreements, master service agreements, tenders and bids for all industries and service lines (mainly Risk Advisory, Consulting, Tax, Audit and Financial Advisory).
- Performing legal research covering, in a comparative approach, the Middle East.
- Reviewing and monitoring Deloitte’s position with regards to local and international laws and
regulations.
- Drafting, reviewing and negotiating: MoUs, various types of contracts such as: banking & financial agreements, construction, telecommunication, mining tenders in Africa, leasing and equipment leasing, shareholders’ agreements, loan agreements, distribution agreements, franchise, subcontracting, employment, NDAs.
- Handling the legal expansion of an insurance brokerage company (the “Group”) across the MENA region and Europe and providing ongoing legal advice regarding such expansion, structure and management of the Group.
- Applying on behalf of the Group for all required licenses and clearances before local ministries and regulatory authorities.
- Screening and recruiting external law firms, auditors, accountants and managers on behalf of the Group and managing outsourcing of legal work and ensuring accurate, timely and effective
completion of such tasks.
- Monitoring, guiding and coordinating with external counsels.
- Advising on intellectual property matters and registering trademarks before the relevant
ministries.
- Incorporating companies before the Lebanese Commercial Register and abroad.
- Civil and Criminal litigation: performing legal research, preparing court documents, attending
hearings and drafting pleadings before the different Lebanese courts.
- Assisting in Arbitration and ADR cases.
