Airbus is an international reference in the aerospace sector working in design, manufacture of industry-leading commercial and military aircrafts, helicopters, military transports, satellites and launch vehicles, as well as data services, navigation, secure communications, urban mobility and other solutions for customers on a global scale.

I joint Airbus in Saudi Arabia on 2011 as the head of legal and compliance of Airbus Saudi. Starting from 2013, I was appointed as the head of legal and compliance of security solutions, a business line in Airbus Defence and Space. I was appointed as well as the co-leader of Airbus group’s centre of competences for Africa and Middle East.

Starting from 2015, and in addition to the local and international role in Airbus, I joint Airbus group International legal and compliance function focus on Africa and Middle East (60 countries).

During the ten years working with Airbus, I was engaged in local, regional and international transactions worth billions of Euros including sales of commercial aircraft, military aircrafts, satellites, integrated systems, complex technology, engineering projects … etc. I was also engaged in number of corporate projects including restructuring, mergers and acquisition, joint ventures, one-roof, carve out / carve in … etc.

My favourite achievements during my carrier with Airbus is my legal, contractual, claim and waiver participation in the biggest integrated border security project in the world (9000 KM) with an amount of 2 billion Euros and Airbus one-roof project in Saudi Arabia aims to integrate 11 legal entities to one foot print in the country.

General Counsel at Arabian Cement Group (ACC)

Working for Arabian Cement Group, a Leading Public Listed company based in Jeddah, Saudi Arabia with regional business in ME. ACC celebrated more than 60 years of continuous business in GCC and ranked as one of the biggest 100 Saudi Companies.

On 2002 Arabian Cement started, its expansion plan in Saudi Arabia and the region started with expand its local productions lines, build a green field cement plant in Jordan and established an international corporation with Italcementi, one of the biggest international cement manufacture in the world. During my time with Arabian Cement,
I managed the legal and compliance function of the group started with the establishment of a new legal and compliance function, board secretary and corporate governance fit with the legal status of Arabian Cement as a public listed company.

Support board of directors and the executive management in the pursuit of new business opportunities in the region.

Provide legal and contractual support on a wide variety of commercial transactions including mergers, acquisitions and disposals, joint ventures, demergers and corporate reconstructions and project financing. Prepare, draft, negotiation and finalize agreements and contracts with joint venture partners, banks, contractors and suppliers of the main strategic projects with incorporation of adequate risk safeguards and due protection of the group assets and interests.

One of my best achievement in my carrier with Arabian Cement is my participation in negotiate and finalize the first Islamic Export Finance package issued from number of European Export Credit Agencies for a greenfield cement plant in Jordan. This transaction awarded as the best deal of 2008 from Global Trade Review, International Finance Law Review and the Banker Magazine

Just after I joined the Egyptian Bar Association, I spent two years for mandatory training in a local law firm then I formed my own law firm with the aim of getting the knowledge from inside. I stayed for two years working morning times and studying during the afternoons for LLM degree.

On qualifying as an Egyptian Lawyer, I spent years in drafting court pleadings in civil, commercial, and labour matters and advised my clients on the merits of the disputes in question. I also advised clients on a broad range of legal topics, in particular in corporate and commercial law and relations with the government.

I prepared and drafted contracts, trusts, transfer of assets, articles of associations and joint venture agreements in addition to many other legal documents.

Starting from 1995, I worked as a freelancer for number of Saudi Law firms advising a verity of clients on a broad range of legal and business topics including direct investment in Saudi Arabia and GCC.

During this time, I gained the experience in merger and acquisition, joint ventures, restructuring and businesses operating. In addition, I developed my experience in connection with the Middle East region.

I was involved with contracts negotiation and finalization on behalf of high net worth individuals, prepare legal briefs and opinions, conduct legal risk analysis, due diligence, advise on commercial contractual… etc.
