- Counsel and provide follow up in legal issues, by means of consultations, reviews and/or meetings, with the objective of protecting the company and complying with all legal dispositions which impact its operation, avoiding or minimizing risks.
- Insure, begin, continue and finish the legal issues (procedures, processes, and litigations), guaranteeing their completion in the best terms required and accomplishing, in each case, the best possible result.
- Negotiate and coordinate severance payments in case these are needed.
- Settle the legal terms of the diverse transactions made together with the interested and third parties, in its case, considering at all times the directives and objectives of the relevant business area; prevent the adverse situations which might be generated in each case to the end of avoiding, minimizing and/or mitigating risks which might derive from a problem from said transaction, as well as from the terms and conditions established for it
- Elaborate, review and negotiate the company contracts (financing, leasing, sponsorship, construction, service benefits, intercompany, credential discounts, ticket presales, events, POS promotions, alliances)
- Receive from the Commercial Partners the basic elements for contract elaboration (sponsorship, initial investment, establishment, contributions, exchanges, payments and additional particulars, company name, federal registry of contributors (RFC from its initials in Spanish)
- Receive the budget from the requesting area, suppliers’ incorporation agreement, RFC, service description and commercial conditions to elaborate the service benefits contract
- Conduct the negotiation of the legal part of the contract and coordinate all in regards to the business with the requesting area, thus obtaining a contract which will benefit both parties
- Keep the company partnerships updated in matter of corporate law by means of administrative council session minutes and shareholder meetings, thus complying with the legal dispositions and keeping a registry of decisions and of the company’s direction
- Coordinate with the Corporate law firm for issues regarding the granting of power of attorney, assemblies, shareholder and administration council resolution minutes
- Maintain the company updated on any legal disposition which resound at any level of government, studying and looking to implement said innovative or modified dispositions in each area of the business, avoiding noncompliance of them
- Participate in projects referring to fiscal issues which have legal implication and whose objective is to improve or establish fiscal strategies. Determine, administrate and provide follow up to the legal budget in its charge, by means of the optimization and correct assignation of resources and based on the company’s plans and projects.
- Actively participate in law and industry groups or associations, looking to contribute to the generation or modification of legal dispositions, to the end of procuring a positive impact on the company, industry and society.
- Protect the original legal documentation of the company in terms of the policies and lineaments established in each corresponding case.
- Custody the company’s legal documents (trademarks, insurance policies, contracts, notary instruments, judicial documents, park permits, etc).
- Determine, administrate and provide follow up to the legal budget in its charge, by means of the optimization and correct assignation of resources and based on the company’s plans and projects.
- Receive, review and approve external lawyer invoices and request their fulfillment to payable accounts.
- Coordinate with external firms and company directions for brand name registry, provide the appropriate follow up and provide the necessary information, always looking to guarantee the best terms.
